Apple chief Tim Cook saw his annual pay slip to $11.6 million in 2019 after the company registered a weaker financial performance compared with the previous year, according to documents filed Friday.
Cook, who took home $15.7 million in 2018, is paid a base salary of $3 million, in addition to a bonus and various compensations.

His 2019 incentive bonus, which is tied to Apple's performance, tallied about $7.7 million, and was calculated based on the fact that Apple exceeded its sales target by only 28 percent.
That compared with $12 million in 2018, based on the company exceeding its sales target by 100 percent, the filing with the Securities and Exchange Commission said.
Cook's 2019 pay was also reported to include another $885,000 worth of benefits, most of which were for security and use of a private jet.
"For security and efficiency reasons, the board requires Mr. Cook to use private aircraft for all business and personal travel," the filing said.
Apart from his salary, Cook also saw more than $113 million worth of Apple shares become vested as part of his long-term compensation as head of the firm, according to the filing.
As iPhone sales have weakened, Apple has been shifting to earnings from digital content and services sold to the legions of fans of its devices.
Apple reported net sales of $260.2 billion and operating income of $63.9 billion for 2019, it said in the filing.

Apple CEO Tim Cook reported $11.6 million in total compensation in 2019 -- 26 percent lower than the prior year -- as company stock has soared, according to the firm’s annual proxy statement released on Friday.
That amount included $3 million in salary as well as $7.7 million in non-equity incentive plan compensation and $884,466 in other compensation that included $457,083 in security expenses (Apple’s board requires that Cook use private aircraft for all business and personal travel).
In 2018, Cook reported $15.7 million in total compensation, which included $12 million in non-equity incentive plan compensation.
Cook’s salary was 201 times as much as the median salary of its employees, which equated to $57,596, according to the filing.
Cook certainly wasn’t the highest-paid Apple executive in 2019, according to the proxy. Apple General Counsel Kate Adams reported total compensation of $25.231 million in 2019, which included $21 million in stock awards, according to the filing.
Cook, 59, has been Apple’s CEO since August 2011 and joined Apple in 1998 as senior vice president, worldwide operations.


In October, Cook touted the improving fortunes of the iPhone. The debut of new iPhone models in September—especially the iPhone 11, which comes with a lower price than its predecessor model—helped to spur better-than-expected results in iPhone revenue during Apple's fourth quarter. The iPhone business generated revenue of $33.36 billion during Apple's fiscal fourth quarter of 2019, ended Sept. 28, the company disclosed at the time.
The Cupertino, Calif.-based tech giant has a good run as of late. Apple’s stock hit an all-time record of $300.35 on Thursday before declining less than 1 percent on Friday as the market as a whole sank. The company, which has a $1.3 trillion market cap, reported revenue of $260.2 billion and operating income of $63.9 billion last year.

Apple CEO Tim Cook’s total pay decreased last year as the company failed to exceed its financial targets by as much as it did in 2018. But he still pulled in over $125 million in total compensation.
According to an SEC filing on Friday, Cook received $3 million in salary for 2019, the same as a year earlier, while his bonus decreased to $7.67 million from $12 million.

The majority of Cook’s pay came from the vesting of $113.5 million worth of Apple shares. All in, Cook’s salary, bonus and vesting compensation for the year declined by 8% from $136 million in 2018. Since 2011, the year Cook became CEO, his compensation has totaled $963.5 million, according to Equilar.
Apple exceeded its targets of $256.6 billion in net sales and $60.1 billion in operating income for fiscal 2019, but the company didn’t beat the numbers by enough for top executives to maximize their bonuses.
“Annual cash incentives paid out at 128% of target for 2019, down from the maximum 200% of target paid for 2018,” the filing said. In 2017, Apple executives received 155% of their target bonus.
In addition to Cook, Apple Chief Financial Officer Luca Maestri, general counsel Kate Adams, and Chief Operating Officer Jeff Williams all received smaller non-equity bonuses last year, down to $2.6 million from $4 million, according to the filing.

Apple sets its goals annually based on a variety of factors, including the macroeconomic environment, trade conditions and foreign exchange headwinds.
Apple declined to comment beyond the proxy.
Cook also received over $800,000 in other compensation, including a $16,800 contribution to his 401(k) plan and security expenses of $457,082. Apple’s board of directors also requires Cook to fly private, which cost the company $315,311 in 2019.
Apple’s median employee made $57,596, up from $55,426 a year earlier. Not including his 2011 stock grant, which accounts for the majority of Cook’s pay, the CEO’s compensation of $11.6 million last year was 201 times the amount earned by the median Apple employee.
Apple’s stock surged 89% in 2019, its best performance since 2009 and the biggest gainer in the Dow Jones Industrial Average for the year.
Apple shareholders will vote on executive compensation at the company’s annual shareholder meeting on Feb. 26.
