Is it limited to the Pte LTD or Corporation or to directors as well?
the equivalent of pte ltd in u.s. is llc or limited liability company. it's state administered depending on the laws of each state. it can comprise members which can be individuals, partnerships, corporations, foreign entities, and other llc's. in such a biz organization, the plaintiff in a civil suit can sue the biz organization instead of individual members. however, if any of the executive officers (ceo, coo, cto, cmo) commits a crime, state law enforcement and the ag will go after them based on whether it's a criminal or civil matter. there are statutes of limitations per state for some commercial crimes, but a criminal can't simply hide behind llc's to commit a crime. if employees sue for backpay, that's a civil suit. if the state has labor and wage laws, and business owners or llc executives break them, that's criminal.
