Temasek exits New China Life with $343m share selldown

Reuters
Friday, Jul 25, 2014

Singapore state investor Temasek Holdings said on Friday it had sold all of its remaining shares in New China Life Insurance (NCI), on the back of a 27 per cent rally in the stock over the past year.

Temasek sold 78 million shares in NCI, China's third-largest life insurer at HK$27.45 each raising HK$2.14 billion (S$343 million), after offering the stock in a HK$27.30 to HK$27.85 per share indicative range, a source familiar with the deal told Reuters.

The shares were down 4.5 per cent at HK$27.73 by Friday afternoon, while the benchmark Hang Seng Index was flat.

"We can confirm the divestment of our entire stake," a Temasek spokesman said, without giving the deal value.

Goldman Sachs and UBS AG managed the selldown, the source added. The source declined to be identified as the details of the transaction were not public.

Primus Pacific Partners did enjoy some success investing in Chinese insurer New China Life. Company filings show it bought a 4.5-per-cent stake in May 2006 for around $26-million, which was sold in November 2010 for $290-million.

Temasek paid $290 million?

More about Mr. Lee

Lee Theng Kiat, president of Temasek Holdings Pte (TMSK), sued the Singapore unit of Primus Pacific Partners Ltd. (PPPTLZ), a Hong Kong-based private-equity firm, seeking to shutter the unit for failing to pay rent on a bungalow.

Primus Ventures (Singapore) Pte owes Lee and his wife S$67,802 ($53,840) in unpaid rent, according to papers filed with the Singapore High Court. Primus Pacific is led by founding partners Huan Guocang, HSBC Holdings Plc’s former China investment banking head, and Ng Wing-Fai, who was managing director at Taiwan’s Fubon Financial Holding Co., according to data compiled by Bloomberg.

The company “should be wound up on the ground that it is unable to pay its debts,” according to Lee’s winding up petition. A closed hearing is scheduled for April 13.

Lee and his wife have owned the house, located on 2,005 square meters (21,580 square feet) of land, since 2004, according to records with the Singapore Land Authority. The property has a swimming pool, koi pond, garage, and a guest house, the court papers show. A similar sized property in the neighborhood would cost at least S$20 million, according to home sales lodged in the past two years with the Urban Redevelopment Authority.

EIRCOM, LEE THENG KIAT, ST TELEMEDIA
Temasek: Meritocracy at work?
In Corporate governance, Temasek, Vietnam on 02/04/2012 at 6:28 am
So the S’porean MD of Singapore Technologies Telemedia (ST Telemedia), a 100%-owned unit of Temasek, Lee Theng Kiat, is now a president of Temasek, and its general counsel. He is in exalted company as one of the other two presidents was once a contender to be CEO of BoA. http://www.bloomberg.com/news/2012-...media-s-lee-as-president-general-counsel.html

But it was also reported last week by the wires that Eircom applied for court protection as expected last to allow it to restructure its 3.75 billion euro (S$6.29 billion) debt, a move it said was “necessary and unavoidable”.

The application follows the company’s agreement to support a proposal under which most senior lenders take control of the company from current majority shareholder ST Telemedia and cut its debt by 40 to 50%.

ST Telemedia bought 65% of Eircom in 2009 for 140 million euros in cash and shares. An employee share trust owns the other 35%. Eircom has 4.1 billion euros of gross debt and more than 300 million euros of cash on its balance sheet, giving net debt of around 3.75 billion euros.http://www.reuters.com/article/2012...&feedType=RSS&feedName=technologyNews&rpc=401

Lee was the MD of ST Telemedia when Eircom was purchased.

Well the Communist Party and Government in Vietnam are not so forgiving of executives who goof. Nine top officials have been given tough jail sentences for their role in the near-bankruptcy of one of Vietnam’s largest state-owned companies. Err they were convicted of being directly responsible for a loss of US$43m http://www.bbc.co.uk/news/world-asia-17561109. Peanuts when compared to Euros 140m.

BTW, came across this comment about Merrill Lynch recently, “From July 2007 to July 2008, a total of [US]$19.2 billion vaporized – or [US}$52 million in losses per day!” For the record, Temasek bot into ML in December 2007 and in late July 2008.http://moneymorning.com/2008/07/29/merrill-lynch/

Temasek’s loss ran into billions of US dollars http://online.wsj.com/article/SB124236495798923123.html. The Vietnamese officials would have been hung, drawn and quatered if they had been held responsible for such a loss. Nothing happened to Temasek officials.

Singapore’s sovereign wealth fund (SWF), Temasek Holdings, posted a lacklustre return of just 1.5% on its investments for the year ending 31 Match, on AUM of S$223 billion (US$179.6 billion), amid heavy exposure to poorly performing Asian equity markets.

Over the last 12 months, the SWF gained roughly S$3 billion from its portfolio, in addition to receiving an S$5 billion fresh capital injection from the Singaporean government.

Temasek Chairman, Lim Boon Heng, said: “This year has been one of our most active years for new investments – the most active since the Global Financial Crisis – driven by softer Asian markets of interest, as well as the continued recovery of the global economy."

"In the course of the past year, the US tapered its loose monetary stance and China reined in its debt fuelled growth. This bodes well for the longer term, though major central banks will most likely take some years to unwind the massive balance sheet expansions of the past five years," Mr. Lim noted.

In terms of geographic distribution, Temasek has been increasing its exposure outside of Singapore, with around 41% of its portfolio allocated to investments in Asia. In this region, most of Temasek’s investments were said to be in China, with the fund focussing on the rapidly growing consumer and technology sectors.

Lee Theng Kiat, president of Temasek, said that the fund has invested in opportunities that are driven by urbanisation and increasing life expectancies.

Elsewhere, the state-owned fund has forayed into other emerging markets including India and Mexico. Just under a third (31%) of its assets were in Singapore, representing a significant decrease from its local exposure in 2004, when 51% of investments were in the city state.

Based on a long-term growth strategy, Temasek said that it will increase exposure to emerging markets and opportunities, such as healthcare for ageing populations, personalised medicine, and ecommerce.

Incorporated in 1974, this year marks Temasek’s 40th anniversary.
